Structure and governance
The North East Social Enterprise Partnership is a company limited by guarantee and without share capital.
The company is owned and controlled by its members.
Membership
There are two classes of membership
- Social Enterprise Members which includes those who trade as a social enterprise and are not under the control of another corporate body or statutory agency
- Associate Members which includes individuals, public bodies, statutory agencies and others not eligible to be Social Enterprise Members.
All members may propose resolutions, speak and vote at General Meetings.
Each member is entitled to cast only one vote irrespective of any monies, assets or guarantees that s/he or it has loaned or contributed in any way to the company.
Board of directors
The membership appoints a board of directors to be responsible for the management of the company. The number of directors shall be not less than four and not more than twelve.
Social Enterprise Members may nominate and elect six directors. Associate Members may nominate and elect two directors. Up to four other directors may be co-opted by the board.
At every Annual General Meeting, all co-opted directors and one-third of the elected directors shall retire from office.
